NearGo PROVIDER AGREEMENT
Version: 1.2 Effective date: 3 June 2026
This agreement governs the relationship between:
Podjetniški Projektni Center ANAplus d.o.o. (hereinafter "NearGo") and Service provider (hereinafter "Provider")
1. SUBJECT OF THE AGREEMENT
NearGo enables the Provider to:
- Publish offers in the NearGo application
- Reach users in the target geographic region
- Accept reservations (Pro plan)
- Use the platform for promotion
2. PROVIDER ELIGIBILITY
The Provider must:
- Be a registered business (sole proprietor, LLC, JSC, partnership, trade, or equivalent)
- Have a valid VAT/tax number
- Have a bank account/IBAN for any payouts (where applicable)
- Comply with the law and sector-specific regulations (e.g. health regulations for cosmetics)
- Not infringe intellectual property rights
The provider service is currently available to providers established in an EU member state. Expansion beyond the EU is in preparation.
3. PLANS AND PRICES
3.1 Free plan
- Free of charge
- 1 active offer at a time
- No featured placements (can be purchased individually for €12.90)
- No reservation calendar
3.2 Grow plan — €15/month or €150/year
- Up to 5 active offers
- 5 free featured slots per month (1 slot = 7 days)
- Additional placements: €7.90
- No calendar
3.3 Pro plan — €35/month or €350/year
- Unlimited active offers
- 10 free featured slots per month (1 slot = 7 days)
- Additional placements: €4.90
- NearGo reservation calendar (exclusive)
- Priority support
4. COMMISSIONS AND PAYMENTS
Paid ticket sales in the app are currently not active, so NearGo does not charge any ticket commission.
Currently active paid elements:
- Vendor subscriptions (Grow, Pro) — monthly/annual; charged by Podjetniški Projektni Center ANAplus d.o.o. via Stripe
- Featured placements (featured boost) — per the plan's pricing; charged by Podjetniški Projektni Center ANAplus d.o.o. via Stripe
- Coupons — free for users; the Provider does not receive payment via NearGo (see section 5)
NearGo does not store card data; it is processed exclusively by Stripe.
5. COUPONS
For coupons:
- Coupons are free for all users (Free and Premium) — the previous administrative fee has been removed
- Customers claim coupons free of charge through the app
- The Provider does NOT receive payment via NearGo for the coupon
- The customer pays for the service directly to the Provider upon performance (the discount is applied at the Provider)
The Provider undertakes to:
- Accept valid coupons (scan the QR code from the app)
- Perform the service according to the coupon description (% discount, € discount, free gift)
- Not refuse users with a valid coupon (except in exceptional cases)
6. PAYOUTS
Since paid ticket sales are not active, NearGo currently does not make regular payouts of ticket revenue to providers. Vendor subscriptions and featured placements are payments from the Provider to NearGo (not the other way around). Any payouts under the NearGo Ambassadors program are governed by a separate document (Self-Billing Agreement).
6A. RESERVATIONS AND CANCELLATION POLICY
6A.1 Cancellation policy
When creating an offer, the Provider chooses one of the following cancellation policies:
- 24 hours before the slot — customer may cancel without explanation
- 12 hours before the slot — customer may cancel without explanation
- 4 hours before the slot — customer may cancel without explanation
- No cancellation (binding slot) — the customer cannot unilaterally cancel; exceptions only by mutual agreement via chat or due to force majeure
The cancellation policy is shown to the customer on the offer card and forms an integral part of the offer.
6A.2 No-show counter
If the customer does not show up for a reserved slot and does not cancel in line with the cancellation policy, the Provider may, at the earliest 30 minutes after the slot start, mark the reservation in the app as a "no-show". This action:
- Records a no-show in the user's profile (counter)
- After the first no-show the user receives a warning, after the second a stronger warning
- After 3 recorded no-shows the user receives a 30-day soft ban (cannot make new reservations)
- Does not entitle the Provider to monetary compensation from NearGo
The Provider undertakes to use this function responsibly and fairly — only in cases where the customer truly did not arrive and did not communicate. Malicious tagging of customers as no-show is a breach of the agreement.
6B. TRUST SCORE AND MANUAL REVIEW
6B.1 Trust score (0–100)
NearGo computes an internal "trust score" (0–100) for each Provider, based on:
- Successful VAT verification via VIES
- Number of successfully completed reservations
- Number of no-show reservations on the side of the Provider's customers
- Account age and compliance with the manual review window
The trust score is an internal NearGo tool used to protect users and is not a public rating of the Provider. NearGo may use it for ranking, prioritization or manual review.
6B.2 Manual review (first 30 days)
Every new Provider is under manual review for the first 30 days from gaining vendor status:
- During this period NearGo may manually review the Provider's listings
- NearGo may request additional proof of business (registration, permits)
- After 30 days the manual review ends; the Provider remains bound by this agreement and the trust score
The purpose of manual review is to protect users from fraudulent offers and to build trust on the platform.
6B.3 VIES VAT verification
The Provider agrees that during registration NearGo will automatically verify the VAT number through EU VIES (VAT Information Exchange System). A failed VIES check does not automatically lead to rejection but may result in:
- A lower trust score
- An extended manual review period
- In case of fraud suspicion: a request for additional proof
7. PROVIDER OBLIGATIONS
The Provider undertakes to:
- Provide accurate and truthful information about offers
- Honor the prices that are published
- Accept and fulfill reservations/coupons
- Communicate professionally with customers
- Resolve complaints within a reasonable time
- Immediately report any change to its VAT status, VAT number or country of establishment (we verify VIES at registration; the provider is responsible for reporting subsequent changes)
8. PROHIBITED PRACTICES
The Provider may NOT:
- Publish false or misleading offers
- Discriminate against customers based on race, gender, religion, etc.
- Change prices after a reservation is concluded
- Charge hidden fees
- Publish prohibited or unlawful offers (alcohol to minors, etc.)
9. PROVIDER LIABILITY
The Provider is solely responsible for:
- The quality of the performed service
- Disputes with customers
- Tax obligations on payments received (coupons performed at the salon)
- Compliance with sector-specific regulations
NearGo is NOT a party to the relationship between the Provider and the customer.
10. TERMINATION
10.1 By the Provider
- At any time, without reason
- 30-day notice period for annual subscriptions (without refund)
10.2 By NearGo
NearGo may immediately terminate the agreement in case of:
- Breach of terms
- Repeated customer complaints
- Unlawful activity
- False information

This English version is provided for convenience. In case of conflict, the Slovenian version of the agreement prevails, except where mandatory consumer protection law of the user's residence requires otherwise.
