NearGo TERMS OF USE

1. INTRODUCTORY PROVISIONS
1.1 Provider information
The NearGo application (hereinafter "NearGo" or "the application") is operated by:

1.2 Acceptance of terms
By registering, signing in, or using the NearGo application, you expressly confirm that:
- You are of legal age (at least 18 years old)
- You have read, understood, and agree to these terms
- You have read and agree to the Privacy Policy
- You will use the application in compliance with applicable law
If you do NOT agree to the terms, you must NOT use the application.
1.3 Changes to the terms
We reserve the right to modify these terms. We will inform you of material changes:
- Through an in-app notification (push notification)
- By email
- At least 30 days before the effective date
Continued use of the application after the effective date of changes constitutes acceptance of the new terms.
2. SERVICE DESCRIPTION
2.1 What is NearGo
NearGo is an international mobile application that enables:
- Users: discovery of local events, services, discounts, and exclusive offers in their vicinity
- Providers (vendors): advertising of their offers, events, and services to a target audience
2.2 Types of offers
NearGo distinguishes between the following types of offers:
- Coupons — free discounts on services (e.g. hair salon, restaurant); the user claims the coupon free of charge and redeems the discount directly at the provider.
- Free Promo — free exclusive offers or promotional free tickets (e.g. for Premium users), claimed via a QR code.
- Service reservations — booking a time slot with a service provider via the NearGo calendar.
- Free events — information about events, including external sources (e.g. Ticketmaster) with a link-out to an external page.
In NearGo, the term "ticket" refers exclusively to a free confirmation (a coupon or promotional ticket) with QR pickup — NearGo does not carry out paid ticket sales.
2.3 NearGo's role as intermediary
NearGo is a digital platform and intermediary between providers and users.
NearGo is NOT:
- A ticket seller (NearGo does not carry out paid ticket sales)
- A service performer (services are performed by the provider)
- A guarantor of service/event quality
NearGo IS:
- An information intermediary between providers and users (including link-outs to external event sources, e.g. Ticketmaster)
- A system for issuing free electronic coupons and promotional tickets (QR pickup)
- A collector of payments for intermediated services, vendor subscriptions, and featured placements; all such payments are charged by Podjetniški Projektni Center ANAplus d.o.o. via Stripe
2.4 Service availability
NearGo strives to ensure uninterrupted operation of the application but does not guarantee 100% availability. The service may be temporarily interrupted due to:
- Technical maintenance
- System upgrades
- Reasons beyond NearGo's control (internet provider outages, network disruptions)
3. USER ACCOUNT
3.1 Registration
Use of most NearGo features requires registration. During registration:
- You must provide truthful, accurate, and complete information
- You are responsible for the security of your password
- You agree to the Privacy Policy
3.2 Account types
NearGo distinguishes between two types of accounts:
a) User account (Customer)
- For individuals who want to discover offers
- Free of charge
- Can be upgraded to Premium for additional features
b) Provider account (Vendor)
- For companies, sole proprietors, and event organizers
- Different plans: Free, Grow, Pro
- Provider terms are detailed in a separate document (Provider Agreement)
3.3 Account security
The user is obliged to:
- Keep access credentials (password) confidential
- Immediately notify NearGo of any unauthorized access
- Not share their account with others
NearGo is not liable for damage arising from:
- Disclosure of the password by the user
- Lack of security measures by the user
- Use of the account by third parties with or without the user's knowledge
3.4 Account deletion
The user may delete their account at any time:
- Through the application: Settings → Account → Delete account
- By email: info@getneargo.com
- Deletion is performed within 30 days of the request
Consequences of account deletion:
- All personal data is deleted (except data we are legally required to retain)
- Active subscriptions are terminated (without refund of the amount paid for the remainder of the current period)
- Active reservations and coupons (including promotional free tickets) remain valid until their expiration
4. PAYMENTS AND PRICES
4.1 Payment systems
NearGo uses the following payment systems:
a) Stripe — for payments of services (reservations), vendor subscriptions (Grow/Pro) and featured placements (featured boost). All these payments are charged by Podjetniški Projektni Center ANAplus d.o.o. via its own Stripe account. NearGo does not store card data; it is processed exclusively by Stripe. These transactions are real-world services or B2B exceptions under Apple/Google guidelines.
b) Apple In-App Purchase (iOS) and Google Play Billing (Android) — EXCLUSIVELY for the NearGo Premium consumer subscription (digital content for the consumer).
c) Invoice language — Invoices are issued in the language in which the user uses the app. The app supports Slovenian, English, German, Italian, Croatian, French, Spanish, Polish, Czech and Slovak. The original invoice is also stored in the app under “My” → “My invoices”.
4.2 Service pricing
For users:
- Basic use: free
- NearGo Premium: €5.99/month or €50.00/year (via Apple In-App Purchase / Google Play Billing)
- Coupon pickup: free (for all users)
- Exclusive coupon pickup: free (limited by exclusive_per_user_limit and global quota)
For providers:
- Free plan: free of charge (limited features)
- Grow plan: €15.00/month or €150.00/year
- Pro plan: €35.00/month or €350.00/year
- Featured listings: depending on plan (from €4.90 to €12.90 per featured placement)
4.3 Taxes
All prices include VAT at the applicable rate based on the user's location and legal regulations.
4.4 Payments to providers
For coupons (service discounts, free gifts) the provider does NOT receive payment through NearGo. The customer claims the coupon free of charge through the app; service performance and the final settlement happen directly between the customer and the provider.
All active payments (service reservations, vendor subscriptions, featured placements) are charged by Podjetniški Projektni Center ANAplus d.o.o. via its own Stripe account. Paid ticket sales and the associated provider payouts are not active in the app.
4A. SERVICE RESERVATIONS, NO-SHOWS AND CANCELLATION POLICY
4A.1 Reservations through NearGo
Service reservations are made exclusively through the NearGo app. The system supports:
- Browsing the provider's available time slots
- Atomic locking of the selected slot (15-minute hold)
- Confirmation of the reservation with an email notification
- Communication with the provider via the in-app chat
A reservation is binding: the customer commits to attending at the agreed time.
4A.2 Cancellation policy
When creating an offer, each provider chooses one of the following cancellation policies:
- 24 hours before the slot — customer may cancel without explanation
- 12 hours before the slot — customer may cancel without explanation
- 4 hours before the slot — customer may cancel without explanation
- No cancellation — the slot is binding; exceptions only for force majeure or by direct agreement with the provider via chat
The cancellation policy is shown to the customer on the offer card before confirming the reservation.
4A.3 No-show counter
If the customer does not show up for a reserved slot and does not cancel in line with the cancellation policy, the provider may mark the reservation as a "no-show" at the earliest 30 minutes after the slot start.
Rules:
- Each no-show is recorded in the user's profile
- The counter is visible to the user in their profile
- After the first no-show the user receives a warning, after the second a stronger warning
- After 3 no-shows the system applies a 30-day soft ban: the user cannot make new reservations; all other app functionality remains available
- Once the 30 days expire the user can book again; the counter remains visible for transparency
NearGo reserves the right to permanently restrict or block the account in case of systematic abuse (more than one 30-day ban within 12 months).
4A.4 Important notice to the customer
- Before booking, please review the provider's cancellation policy (visible on the offer card).
- If you know you will be late or unable to attend, cancel the reservation in time (via the app or via chat with the provider). It is a courtesy to the provider and other customers.
- If the slot is binding and you cannot attend due to force majeure, contact the provider via chat — a reschedule may be possible.
5. USER RIGHTS AND OBLIGATIONS
5.1 User rights
- Free use of basic features
- Access to their data
- Right to rectification, erasure, and portability of data
- Unsubscribe from marketing communications
- Lodge complaints with NearGo
5.2 User obligations
The user undertakes to:
- Use the application in compliance with applicable law
- NOT use the application for unlawful or harmful purposes
- NOT attempt to circumvent security mechanisms
- NOT disrupt the operation of the application or the business of other users
- NOT post offensive, discriminatory, false, or hateful content
- NOT infringe intellectual property rights
5.3 Prohibited activities
Strictly prohibited:
- Creation of fake accounts
- Automated use (bots, scripts)
- Reverse engineering the application
- Distribution of malicious code
- Fraudulent transactions
- Identity theft
6. USER CONTENT
6.1 Types of content
Users may create the following content in the application:
- Ratings and reviews
- Comments
- Images (via vendor accounts)
- Profile data
6.2 Rights and responsibilities
By posting content, the user:
- Warrants that they have the rights to post it
- Warrants that the content does not infringe third-party rights
- Grants NearGo a non-exclusive right to display the content in the application
6.3 NearGo's right to moderation
NearGo reserves the right to:
- Review any posted content
- Remove content that violates the terms
- Temporarily or permanently block users who violate the terms
- Inform the user of the reason for removal/block
7. INTELLECTUAL PROPERTY
7.1 NearGo intellectual property
All intellectual property rights related to NearGo (logo, design, code, database) are owned by Podjetniški Projektni Center ANAplus d.o.o. or its licensing partners.
Without express written permission you must not:
- Copy or reproduce any parts of the application
- Modify or derive functionality from the application
- Use the NearGo trademark
7.2 Provider content
Content posted by providers (images, descriptions) remains the property of the providers. By posting, they grant NearGo a license to:
- Display the content in the application
- Optimize it (resize, compression)
- Use it for marketing purposes (with explicit consent)
8. LIMITATION OF LIABILITY
8.1 Limitation of NearGo's liability
NearGo is NOT liable for:
- The accuracy of information provided by providers
- The quality of services performed by providers
- Disputes between provider and customer
- Consequential damages (lost profit, lost time, indirect damages)
- Damage caused by system outages, viruses, or hacker attacks
8.2 Maximum liability
In any case, NearGo's liability is limited to the amount the user paid to NearGo in the last 12 months, or €100, whichever is less.
8.3 Force majeure
NearGo is not liable for failure to fulfill obligations due to force majeure (natural disasters, wars, pandemics, government decisions, internet network disruptions).
9. SERVICE TERMINATION
9.1 Termination by the user
The user may at any time:
- Stop using the application
- Delete their account (point 3.4)
- Cancel a subscription (via App Store / Google Play Settings)
9.2 Termination by NearGo
NearGo may terminate or block a user's account:
- For violation of these terms
- For suspected fraud
- For account inactivity exceeding 24 months (after prior warning)
- Upon discontinuation of the service (with 30 days' notice)

10.2 Consumer legal protection
Consumers may use the European Union's Online Dispute Resolution platform (ODR): https://ec.europa.eu/consumers/odr
10.3 Governing law and jurisdiction
These general terms are governed by the law of the provider's registered seat. Any disputes shall be subject to the jurisdiction of the court at the provider's registered seat, unless applicable consumer protection law provides otherwise.
